A resolution, as defined by the Act signifies a formal decision passed by the members (shareholders) of a company. The Act delineates two principal methodologies for issuing a resolution within a private company limited by shares in the UK: it can be executed either as a written resolution or passed through a meeting of the members, as detailed in Section 281(1) of the Act.
